14) Limitation of Liability

To the maximum extent permitted by law, Ceres India, its affiliates, and their directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; or for loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the Site, even if advised of the possibility of such damages.
To the extent any liability cannot be excluded, our aggregate liability shall not exceed INR 10,000 or the amount you paid (if any) to use the Site in the 3 months preceding the claim—whichever is greater.

15) Indemnification

You agree to indemnify, defend, and hold harmless Ceres India and its affiliates, and their directors, officers, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

16) Compliance; Export; Anti-Corruption

You represent that you are not subject to any applicable sanctions or export restrictions. You agree to comply with all Indian export control, anti-corruption, and anti-bribery laws, including the Prevention of Corruption Act, 1988, and any applicable international laws.

17) Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, provisions that by their nature should survive (e.g., IP, disclaimers, limitations of liability, indemnity, governing law) will survive.

18) Governing Law; Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws rules.
Arbitration. Any dispute arising out of or in connection with these Terms or the Site shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed in accordance with the Act. The seat and venue of arbitration shall be Bengaluru, Karnataka. The arbitration proceedings shall be conducted in English.
Courts. Subject to arbitration, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction.
You and we agree to first attempt to resolve disputes informally by notice and a 30-day good-faith negotiation period before initiating arbitration.

19) Notice

20) Miscellaneous

  • Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Site.

  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or corporate reorganization.
